Terms of Service

Nobleix is a venue that connects businesses and individuals ("Clients") who post short jobs — such as video editing, website building, or logo design — with independent creators ("Creators") who submit work. Nobleix is not a party to any agreement between Clients and Creators, is not an employer or agent of any user, and does not process, hold, or guarantee payments. All payments, deliverables, and disputes are settled solely between users.

All payments for work arranged on the Platform are made directly between users through PayPal or another method they choose. Nobleix is not a payment processor, escrow agent, or money transmitter; it never receives, holds, or transfers user funds and cannot issue refunds, reverse payments, or mediate chargebacks. Your use of PayPal is governed solely by PayPal's own terms and policies, and any buyer or seller protection is provided by PayPal, not Nobleix.

Nobleix does not verify the identity, skills, background, or trustworthiness of any user, and does not guarantee that any job post, submission, or user is genuine. Nobleix is not responsible or liable for any scams, fraud, phishing, impersonation, non-payment, non-delivery, late or poor-quality work, intellectual-property disputes, chargebacks, or any other loss arising from interactions or transactions between users, whether on or off the Platform.

• You deal with other users entirely at your own risk and should use caution, agree on scope in writing, and use payment protections offered by PayPal.
• You release Nobleix and its officers, employees, and agents from all claims, demands, and damages of every kind arising out of or connected with disputes between users.
• If you suspect a scam, report it to legal@nobleix.com; we may (but are not obligated to) investigate or suspend accounts.

You must be at least 18 years old and able to form a legally binding contract to use the Platform. By using the Platform you represent that you meet these requirements and that you are not barred from using it under applicable law.

• You must provide accurate, current, and complete registration information and keep it updated.
• You are solely responsible for keeping your account credentials secure and confidential, and for all activity under your account.
• You must notify us immediately at legal@nobleix.com of any unauthorized access or security breach.
• You may not sell, transfer, or share your account, or create accounts on behalf of others without authorization.

You agree not to, and not to permit anyone else to:

• Engage in, promote, or facilitate any illegal activity, fraud, or money laundering;
• Post or transmit hate speech or content that demeans people based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics;
• Harass, threaten, stalk, bully, dox, or intimidate any person;
• Send spam, unsolicited promotions, chain messages, or fake job posts;
• Scrape, crawl, or harvest data from the Platform by automated means, or use the Platform to train machine-learning models, without our prior written consent;
• Infringe intellectual property, privacy, or publicity rights of others;
• Upload malware, attempt to gain unauthorized access, probe or bypass security, or interfere with the Platform's operation;
• Impersonate any person or misrepresent your affiliation; or
• Misuse Nobleix AI, including attempting to extract its instructions or generate unlawful or harmful content.

Enforcement. Violations may result in content removal, warnings, feature restrictions, immediate account suspension, permanent termination, and referral to law enforcement, at our sole discretion and without prior notice. Severe violations (e.g., illegal content, threats, fraud) result in immediate suspension.

You retain ownership of all content you post, upload, or submit, including job posts, portfolios, messages, and work submissions ("User Content"). Ownership of deliverables as between Clients and Creators is determined by their own agreement.

By posting User Content, you grant Nobleix a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, perform, adapt (for formatting and technical purposes), and distribute that content in connection with operating, promoting, and improving the Platform. This license ends when you delete the content, except for copies retained in backups, as required by law, or already shared with other users.

You represent that you own or have all necessary rights to your User Content and that it does not violate these Terms or any law. We may, but are not obligated to, monitor, remove, or refuse any content.

Nobleix AI is an artificial-intelligence assistant powered by third-party models, including Google Gemini. Its use is governed by our AI Policy. AI output may be inaccurate, incomplete, or biased; you are responsible for reviewing and verifying it before relying on it.

All content on the Platform, including Nobleix AI output, budget estimates, and guidance, is provided for informational purposes only and does not constitute legal, financial, tax, accounting, business, health, or other professional advice. You should consult a qualified professional before making decisions based on any such content. No professional-client relationship is created by your use of the Platform.

The Platform may contain links to, or integrations with, third-party websites, portfolios, payment tools, and services that we do not own or control. Nobleix is not responsible for the content, privacy policies, terms, accuracy, or practices of any third-party websites or services. Your interactions with them are solely between you and the third party, at your own risk.

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limitation, Nobleix does not guarantee: (a) 100% uptime or uninterrupted availability; (b) that the Platform, any code, or any AI output will be error-free or bug-free; (c) absolute security or freedom from viruses or unauthorized access; (d) the quality, legality, or timeliness of any job, submission, or user; or (e) that defects will be corrected. The Platform is currently an alpha prototype and may change or be discontinued at any time.

To the maximum extent permitted by law, Nobleix and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the Platform, user disputes, payments between users, or AI output, even if advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Platform will not exceed the greater of (a) the total amount you paid to Nobleix in the twelve (12) months before the event giving rise to the claim, or (b) one hundred US dollars (US $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless Nobleix from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Platform, your dealings with other users, or your violation of these Terms or any law.

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act as described in our DMCA Policy. We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.

We reserve the right to suspend or terminate your account and access to the Platform, in whole or in part, at our sole discretion, at any time, for any reason or no reason, with or without prior notice, including for violation of these Terms. You may stop using the Platform and delete your account at any time.

Upon termination, your right to use the Platform ends immediately. Sections that by their nature should survive (including User Content license as stated, disclaimers, limitation of liability, indemnification, and governing law) survive termination.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction. To the extent permitted by law, claims must be brought individually, not as part of a class or representative action.

We may modify these Terms at any time. We will update the "Last updated" date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.

These Terms are the entire agreement between you and Nobleix regarding the Platform. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them freely.
